(a) Every issuer registering securities for sale in this State or who has sold securities in this State pursuant to an exemption contained in section 202(e), 203(d), 203(p) or 203(r) 1 shall at all times keep and maintain a complete set of books, records, and accounts of such sales and the disposition of the proceeds thereof for a period of three years following the last sale of securities in this State or one year after the disposition of all proceeds, whichever is longer, and shall thereafter, at such times as are required by the department, make and file in the office of the department, a report, setting forth the securities sold by it under such registration or exemption, the proceeds derived therefrom and the disposition thereof.
(b) Subject to the limitations of section 18 of the Securities Act of 1933 (48 Stat. 74, 15 U.S.C. § 77r), every open-end or closed-end investment company, face amount certificate company or unit investment trust, as such persons are classified in the Investment Company Act of 1940 (54 Stat. 789, 15 U.S.C. § 80a-1 et seq.), making a filing under section 205, 206 or 211 2 shall file reports with the department at such times and in such manner as the department, by rule, may prescribe which, at a minimum, set forth the total amount of securities offered and sold in this State during the effective period of the registration statement or notice filing.
(c) Except open-end and closed-end investment companies, face amount certificate companies and unit investment trusts, as such persons are classified in the Investment Company Act of 1940, every issuer registering securities for sale in this State under section 206 shall file an annual report with the department, no earlier than three hundred sixty-five days and no later than four hundred twenty days from the effective date of the registration, setting forth the total amount of securities sold in this State during the effective period of the registration statement.
