It shall be lawful for any incorporated United Methodist church, by a two-thirds vote of the members present and voting at a regularly called meeting of the corporation, to alter or amend its certificate of incorporation in any manner not inconsistent with the provisions of this chapter or the discipline of The United Methodist church; and such alteration or amendment shall become operative when the amended certificate of incorporation shall have been executed, acknowledged and filed as provided for in section three hundred twenty-three of this article.
