2. That after such a certificate shall have been recorded as aforesaid, it shall be lawful for any owner or possessor to call a meeting of such company, by serving each owner or possessor with a notice in writing, or leaving the same at his or her dwelling house or usual place of abode, setting forth the time and place of such meeting; at which time and place the said company shall, by plurality of voices of those who shall meet, proceed to the choice of two managers, being owners or possessors in the said company, to continue for the term of one year, or till others shall be chosen; and in case of the death, removal or disability of any manager chosen in manner aforesaid, a meeting of the company may be called, in the manner hereinbefore directed, for the purpose of choosing a manager to supply such vacancy; and every manager so chosen shall be vested with the same powers, perform the same duties, and be subject to the same penalties, as if he had been elected in the manner hereinbefore mentioned, or at any annual meeting of the company; and the said company shall choose a clerk in the same manner as managers are hereby directed to be chosen, who shall record all their proceedings in a book to be provided for that purpose; and every manager, in performing any of the duties in this act required, shall receive one dollar per day, and in case of neglect or refusal to perform such duties, after being thereunto required, he shall forfeit and pay for every such neglect or refusal the sum of fifteen dollars, to be recovered by action of debt, by any owner or possessor who shall sue for the same, to be applied toward the support of the sluices and waterworks of the company.
