Minnesota Statutes Business, Social, and Charitable Organizations (Ch. 300-323A) § 322B.73. Articles of merger or exchange and certificate

Subdivision 1. Contents of articles of merger or exchange. Upon receiving the approval required bysection 322B.72, articles of merger or exchange must be prepared that contain the plan of merger or exchange, and a statement that the plan has been approved by each constituent organization pursuant to this chapter.

Subd. 2. Articles signed and filed. The articles of merger or exchange must be signed on behalf of each constituent organization and filed with the secretary of state.

Subd. 3. Certificate of merger or exchange. The secretary of state shall issue a certificate of merger to the surviving organization, or its legal representative, and a certificate of exchange to the acquiring organization, or its legal representative.
