Minnesota Statutes Business, Social, and Charitable Organizations (Ch. 300-323A) § 322B.689. Delegation

Unless prohibited by the articles, a member control agreement, or bylaws or by a resolution approved by the affirmative vote of a majority of the governors present, a manager may, without the approval of the board, delegate some or all of the duties and powers of an office to other persons. A manager who delegates the duties or powers of an office is subject to the standard of conduct for a manager insection 322B.69with respect to: (1) the act of delegation; and (2) the supervision of persons to whom those duties and powers are so delegated.
